Professional background
A Wall Street foundation. A practical operating perspective.
Joseph started in New York City in 2004 at Thacher Proffitt & Wood, a leading law firm in asset-backed securitization and capital markets transactions on Wall Street. He specialized in structured finance and corporate transactions.
He was subsequently recruited to global powerhouse Clifford Chance in Manhattan to work in its Corporate Mergers & Acquisitions department. In 2013, he ventured out to help entrepreneurs launch startups and scale existing businesses.
Joseph completed the M&A and Corporate Development Strategies program at Wharton Executive Education. He later formed Raetzer PLLC to provide specialized legal and business consultancy services to small and medium-sized businesses.

Represented Australia-based Victorian Funds Management Corporation to redeem its investment in a publicly traded $2 billion fund.

Drafted transactional documents for European-based Mapfre S.A. in its $2.6 billion acquisition of publicly traded U.S.-based The Commerce Group.

Restructured a $2.1 billion securitization portfolio for Ambac and Assured, including replacement of the lead investment manager.
06 / Munich Re
Represented Munich Re in a structured transaction involving formation of an Irish-listed SPV and subsequent issuance of Rule 144A notes.

Advised JP Morgan and others as underwriters in MBIA's $1.1 billion common stock offering and $1 billion surplus note offering.

Represented Fortis in a consortium transaction with several private equity firms to acquire U.S.-based publicly traded The BISYS Group.

Drafted transactional documents for UK-based Index.dev in its acquisition of U.S.-based Codemotion Ninjas to expand its network to 180 countries.

Represented Morgan Stanley and others as book-running managers in MBIA's $1.1 billion Rule 144A unsecured subordinated notes offering.
